Terms of Service

"AgentLoka", "we", "our", or "us" means AgentLoka, Inc., a Delaware corporation. "You" or "Customer" means the individual or entity using the Service.

"Service" means the AgentLoka platform, including the marketplace, no-code builder, integration gateway, public agent profiles, Model Context Protocol (MCP) export, embed widgets, APIs, webhooks, CLI, and any related software or documentation we make available.

"Agent" means a single-task, trigger-driven automation published, hired, or executed on the Service. "Run" means one execution of an Agent. "Creator" means a user who publishes an Agent. "Buyer" means a user who hires an Agent.

You must be at least 18 years old (or the age of majority where you live) and able to enter into a binding contract. Accounts are per-individual; team workspaces are first-class and require an authorised admin.

You're responsible for keeping your credentials safe and for any activity under your account. Notify us at security@agentloka.com immediately if you suspect compromise.

Your use of the Service is subject to our Acceptable Use Policy. In short: agents are single-task and deterministic; no arbitrary code execution; no multi-step campaigns at scale without prior approval; no PII processing without lawful basis and consent.

Platform fees ($0 / $20 / $200/month for Free, Pro, Business) are billed monthly in advance. Per-token AI usage is metered in real time at the provider's published rate plus a 30% platform markup; the markup is itemised on every receipt.

Balance never expires. Usage is metered against your prepaid balance or invoiced monthly for Business customers under net-30 terms. Auto top-up is opt-in.

Refunds. Because usage is metered live and balance is non-expiring, we do not refund unused credit. If a platform incident, broken integration, or billing error causes a chargeable run to fail or over-charge, we issue a credit to your balance with one click.

Taxes. All fees are exclusive of applicable taxes. Tax forms for US Creators are issued by Stripe (1099-K when thresholds are met); international tax forms are handled by Stripe in your jurisdiction.

You own your inputs and outputs. Any data you submit to an Agent, and any output it produces for you, remain yours. We claim no licence to it beyond what's needed to operate the Service for you.

Creators own their agents. If you publish an Agent, you retain all IP in the Agent's prompt, schema, tool configuration, and metadata. You grant AgentLoka a worldwide, royalty-free licence to host, display, and execute the Agent on behalf of Buyers, and to display the Agent's public profile.

We own the platform. The Service itself, the AgentLoka brand, and our documentation are our IP. You're licensed to use them as the Service is intended.

You must not, and must not allow your Agents to:

• execute arbitrary user code on our infrastructure;
• operate as an interactive chatbot during a Run;
• conduct multi-step outreach to more than 10,000 recipients without prior written approval;
• scrape, harvest, or aggregate personal data without lawful basis;
• generate or distribute CSAM, deepfakes, defamation, or content prohibited by applicable law;
• attempt to circumvent rate limits, billing, or per-workspace isolation;
• misrepresent the Service or its Creators (including impersonation).

We may suspend or terminate your account if you materially breach these Terms or our Acceptable Use Policy, with notice when practicable and immediately when required to protect the Service or other customers. On termination, your data is retained per the retention schedule below and then deleted.

You may cancel any time from Settings → Billing. Cancellation is immediate; you keep access through the end of the paid period.

We'd rather solve disputes by talking. Email legal@agentloka.com first. If we can't resolve a dispute within 60 days, either party may pursue formal proceedings. You and we both agree to bring any claim in the state or federal courts of Delaware and to waive jury trial. Class actions are waived to the extent permitted by law.

The Service is provided "as is." We make no warranty that an Agent will produce a particular result. Outputs are probabilistic; even deterministic single-task agents can be wrong. You're responsible for reviewing material outputs before using them.

To the maximum extent permitted by law, our aggregate liability arising out of or relating to these Terms is limited to the greater of (a) the fees you paid us in the 12 months preceding the claim, or (b) USD $100.

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. Venue is the state or federal courts of New Castle County, Delaware.

We may update these Terms. Material changes will be flagged on the changelog and emailed to workspace admins at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
